1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Pauso ("Company," "we," "our," or "us") governing your access to and use of the Pauso website (pauso.com), web application (app.pauso.com), and all related services (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Description of Service

Pauso provides a team mindfulness service that delivers guided meditation sessions through video conferencing platforms. The Service includes:

• An AI-powered meditation bot that joins scheduled video meetings
• Guided mindfulness sessions delivered via screen share and audio
• A web application for managing your account and viewing usage
• Integration with calendar systems and video platforms (Zoom, Google Meet, Microsoft Teams)

The Service is designed for workplace use and is intended to support team wellness initiatives. It is not a substitute for professional medical or mental health treatment.

3. Eligibility

To use the Service, you must:

• Be at least 16 years of age
• Have a valid work email address from your organization
• Have the authority to bind yourself or your organization to these Terms
• Not be prohibited from using the Service under applicable law

The Service is intended for business use. We may require verification of your work email domain to prevent abuse.

4. Account Registration

4.1 Account Creation

To access the Service, you must create an account using a supported authentication method (currently Google OAuth). You agree to provide accurate and complete information during registration.

4.2 Account Security

You are responsible for:

• Maintaining the security of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

We are not liable for any loss resulting from unauthorized use of your account.

4.3 Organization Accounts

Accounts are associated with your organization's email domain. Usage limits and billing apply at the organization level, not individual user level.

5. Subscriptions and Payments

5.1 Plans and Pricing

We offer the following subscription plans:

• Free Plan: Limited sessions per month at no cost
• Pro Plan: Increased session limits for a monthly or annual fee
• Enterprise Plans: Custom plans available for larger organizations

Current pricing is available at pauso.com/#pricing. Prices are subject to change with 30 days' notice.

5.2 Session Counting

A "session" is counted when Pauso joins a scheduled meeting, regardless of the number of participants. Sessions that fail to start due to technical issues on our end will not be counted against your limit.

5.3 Billing

• Paid subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law or as specified in these Terms
• Payment processing is handled by Stripe
• You authorize us to charge your payment method for all applicable fees

5.4 Failed Payments

If payment fails, we will attempt to process it again. If payment cannot be collected, we may suspend or downgrade your account to the Free plan after providing notice.

5.5 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• Your subscription will remain active until the end of the current billing period
• Your account will revert to the Free plan
• You will retain access to your account and historical data

6. Acceptable Use

6.1 Permitted Use

You may use the Service only for:

• Conducting team mindfulness sessions with your organization
• Managing your account and viewing usage statistics
• Other purposes expressly permitted by these Terms

6.2 Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the Service or servers connected to it
• Use the Service to transmit malware, viruses, or other harmful code
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated means to access the Service without our permission
• Resell, sublicense, or provide access to the Service to third parties without authorization
• Use the Service in a manner that could damage, disable, or impair it
• Abuse the Free plan by creating multiple accounts for the same organization
• Use the Service in any manner that infringes upon the rights of others

7. Video Platform Integration

7.1 Third-Party Platforms

The Service integrates with third-party video conferencing platforms (Zoom, Google Meet, Microsoft Teams). Your use of these platforms is subject to their respective terms of service and privacy policies.

7.2 Meeting Access

By inviting Pauso to your meetings, you represent that you have authority to allow our bot to join those meetings. You are responsible for informing meeting participants that Pauso will join.

7.3 Platform Availability

We do not control third-party platforms and cannot guarantee their availability. Changes to platform APIs or policies may affect Service functionality.

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including its content, features, functionality, design, and underlying technology, is owned by Pauso and protected by copyright, trademark, and other intellectual property laws.

The Pauso name, logo, and all related marks are trademarks of Pauso. You may not use our trademarks without prior written permission.

8.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes.

8.3 Meditation Content

The guided meditation content delivered through the Service is our proprietary content. You may not record, reproduce, distribute, or create derivative works from this content without our written permission.

8.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without obligation to you.

9. Privacy and Data

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. Key points:

• No Recording: We never record, transcribe, or store audio or video from your meetings
• Limited Data Collection: We collect only the information necessary to provide the Service
• No Data Sales: We do not sell your personal information

By using the Service, you consent to our data practices as described in our Privacy Policy.

10. Disclaimers

10.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Medical Advice

THE SERVICE PROVIDES GENERAL MINDFULNESS AND MEDITATION GUIDANCE. IT IS NOT INTENDED TO PROVIDE MEDICAL, PSYCHOLOGICAL, OR THERAPEUTIC ADVICE. THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL OR MENTAL HEALTH TREATMENT.

If you are experiencing mental health issues, please consult a qualified healthcare provider.

10.3 Availability

We do not guarantee that the Service will be uninterrupted, error-free, or available at all times. We may modify, suspend, or discontinue the Service at any time without notice.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAUSO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, or business opportunities
• Any damages resulting from your use or inability to use the Service
• Any damages resulting from unauthorized access to your account
• Any damages exceeding the amount you paid us in the past 12 months

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Pauso and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your invitation of Pauso to meetings you were not authorized to modify

13. Term and Termination

13.1 Term

These Terms remain in effect while you use the Service or have an account.

13.2 Termination by You

You may terminate your account at any time by deleting it through your account settings or contacting us.

13.3 Termination by Us

We may suspend or terminate your account if:

• You violate these Terms
• You fail to pay applicable fees
• Your use of the Service poses a security risk or may harm other users
• Required by law
• We discontinue the Service

We will provide reasonable notice before termination unless immediate action is required to protect the Service or other users.

13.4 Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases
• We may delete your account data after a reasonable period
• Provisions that should survive termination (such as intellectual property, limitation of liability, and indemnification) will remain in effect

14. Dispute Resolution

14.1 Informal Resolution

Before initiating formal proceedings, you agree to first contact us at legal@pauso.com to attempt to resolve any dispute informally.

14.2 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

14.3 Jurisdiction

Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of these courts.

15. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on our website
• Updating the "Last updated" date
• Sending email notification for significant changes

Your continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pauso regarding the Service.

16.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

16.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

16.4 Assignment

You may not assign your rights under these Terms without our written consent. We may assign our rights to an affiliate or successor.

16.5 Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or infrastructure failures.
